NNDKP assists Medicover with the acquisition of Polaris Medical in Cluj-Napoca
NNDKP assisted Medicover, a leading provider of private medical services in Romania, in the transaction through which the company acquired Polaris Medical, in Cluj-Napoca, from the Socea family.
Following the transaction, Medicover will hold the majority stake in Polaris Medical, and will thus expand its presence in the north-west region of Romania, as well as its expertise in integrated medical services. Medicover plans to invest over EUR 8 million in the hospital to turn it into a multidisciplinary hospital for the diagnosis and treatment of patients with acute conditions. Dr Ovidiu Gogu Cacuci, the founder of Pelican Hospital Oradea, which Medicover took over in 2018, will be a partner in the project.
NNDKP provided assistance in all stages of the project, including with the due diligence analysis, in drafting and negotiating the transaction documents, and in connection with other various legal aspects in the context of the acquisition.
The NNDKP team involved in the transaction was coordinated by Gabriela Cacerea, Partner and Co-head of NNDKP’s Corporate/M&A practice, who worked closely with Mădălina Pancă, Managing Associate in the same practice. The dedicated team also included Vlad Tănase, Partner (Real Estate), Anca Diaconu, Senior Associate (Competition), and Mihai Fifoiu, Senior Associate (Corporate/M&A).
“In signing this investment, it was important to have as consultant a company that shares our commitment and passion to serve our patients. We thank the NNDKP team for their excellent expertise and involvement in facilitating Medicover’s development plans in Romania”, said dr. Florinela Cîrstina, General Manager of Medicover Romania.
“Medicover is a visionary company that continues to grow steadily and invest in healthcare for the benefit of patients. We are honored to have had the opportunity to work with Medicover once again in an important transaction for the Romanian healthcare services market, and to have contributed to the company’s expansion process in this extremely competitive field. At the same time, I am proud of my colleagues for the hard work and professionalism with which they approach each project in which we are involved”, mentioned Gabriela Cacerea, Partner at NNDKP.
This transaction complements the M&A portfolio of deals in which NNDKP has been involved in the past 12 months in industries such as medical services, technology and IT, agri-business, energy and natural resources, finance and insurance, transport and logistics, and automotive. These projects add to an impressive track record the firm has built in over 30 years of providing assistance in transactions with a cumulative value of tens of billions of euros, including in projects that have shaped the local business market.
