NNDKP Has Provided Legal Assistance in the First Secondary Public Offer Successfully Concluded by O.P.S.P.I.

The secondary public offer having as object the sale by M.E.C.M.A. through O.P.S.P.I. of a number of 10,995,472 shares, representing 15% of the total number of shares issued by C.N.T.E.E. Transelectrica was successfully concluded, by the oversubscription of the shares offered for sale.

Today, the 27th of March, at 17:00, the subscription period of the secondary public offer was closed and the shares offered were subscribed in a proportion of 135%. For small investors (subscriptions lower than lei 500,000), 260% of the total number of shares offered for this category were subscribed for, while for the category of big investors (subscriptions higher than lei 500,000) the proportion of subscribed shares was of 120%.

Nestor Nestor Diculescu Kingston Petersen (NNDKP) provided legal advice to the Agency Union made of a large Romanian bank and two investment funds during the preparation and performance of the offer which lasted for over six months, starting from drafting the legal due diligence report, drafting the documents necessary for preparing the public offer and drafting of the Offer Prospectus inclusively, as well as with respect to the different complex legal aspects identified throughout the period of performance of the offer.
