• We provide ongoing assistance to major producers such as Zentiva, Genzyme CEE, Ferring Pharmaceuticals, Dr. Reddy's etc. and distributors such as Romastru Trading SRL of medicinal products with respect to a wide range of regulatory and legal matters including pricing of medicinal products, claw-back system etc;
• We collaborate with reputed international law firms in various pharmaceutical and health care legal aspects, such as harmonization of current Romanian pharmaceutical law with EU pharmaceutical law, clinical trials, biotechnology, donation, sponsorship of medicinal products included or not within national health programs, mechanisms for exporting medicinal products;
• We have provided assistance to Infomed Fluids SRL with respect to specific model of business concerning the import and commercialization of pharmaceutical products in Romania;
• We assisted Novo Nordisk Farma SRL, a world leader in diabetes care, in auditing its marketing practices;
• We have provided advice to Stryker Corporation, a leading international medical device manufacturer, concerning the general legal framework applicable to the operations of business in Romania;
• We have advised Novartis Group, a leading pharmaceutical group in connection with regulatory aspects, corporate M&A, internal regulations, customs treatment of imported medicines, distribution agreements, employment, litigation, patent infringement and trademark registration;
• We have advised GN ReSound Corporation, one of the world’s leading manufacturers of digital and non-digital hearing instruments, in connection with its acquisition of a significant stake in Audionova S.r.l;
• We have provided general corporate and legal assistance to Boiron Group, a leading provider of homeopathic solutions;
• We have represented Ranbaxy Laboratories Ltd, one of the main worldwide generic producers of pharmaceutical products, in a USD 324 million acquisition of Terapia S.A., one of the leading Romanian producers of such products;
• We have advised Ranbaxy Laboratories Ltd in connection to a proposed indirect acquisition of a majority stake in Sindan SRL, the most important local oncology medicine manufacturers (including due diligence, preparation of offer, SPA);
• We have assisted Celesio A.G. for the purpose of the legal due diligence analysis of documents regarding Europharm Holding S.A. for the purpose of the intended acquisition of Europharm by the client;
• We have advised the Romanian Association of International Producers of Medicines in connection with issuance of a position paper on a package of major draft health care legislation, including drafts regarding medicine, transplants, voluntary health insurance and the establishment of a national health fund;
• We have assisted Société Générale Assset Management in the acquisition of a 36.25% stake in MedLife SA, the largest operator of private medical services in the Romanian market;
• We have advised Nomura in performing a comprehensive due diligence in connection with the activity of Fildas group (one of the top 3 local distributors of pharmaceutical products) in view of a prospective initial public offering;
• We have performed a due diligence review in connection with the activity of Labormed Pharma S.A., a producer of medicinal products and Labormed Pharma Trading S.R.L., a distributor of medicinal products, in order to file an offer by Unit 4 Agresso.
